Please read these terms carefully. By creating an account or using PracticeKey, you agree to them.
1. What PracticeKey is — and is not
PracticeKey is an online marketplace where practice owners list opportunities and physicians discover them. We provide the platform where you connect. That is the extent of our role.
We are not a broker. We do not represent buyers or sellers, we do not negotiate on anyone’s behalf, and we take no commission or transaction fee on any deal.
We are not your attorney, accountant, financial advisor, or valuation professional. Nothing on PracticeKey — including the Succession Planner, listing information, or any content we publish — is legal, tax, financial, or medical advice. Practice transitions involve significant legal and financial consequences. Engage your own qualified professionals before signing anything.
We do not verify the accuracy of listings. We verify NPI numbers against the public CMS registry and review listings before they appear. That is not diligence, and it is not a guarantee that any financial figure, patient volume, or representation is accurate. Conduct your own due diligence.
We do not guarantee outcomes. We do not promise that you will sell your practice, find a buyer, receive applications, be approved for access, or complete any transaction.
2. Eligibility
You must be at least 18 years old and able to enter a binding contract. PracticeKey is intended for licensed physicians, dentists, practice owners, and their authorized representatives.
If you use PracticeKey on behalf of an organization, you represent that you are authorized to bind that organization to these terms.
3. Your account
You are responsible for the accuracy of the information you provide, for keeping your password secure, and for everything that happens under your account.
Notify us at privacy@practicekey.io if you believe your account has been accessed without your authorization.
You may not create an account using someone else’s identity, credentials, or NPI.
4. Listings and content you provide
You retain ownership of everything you post. By posting, you grant us a non-exclusive, worldwide license to host, display, and distribute it as necessary to operate PracticeKey. This license ends when you remove the content or your account, except where we must retain it under Section 7 of our Privacy Policy.
You represent that:
- You have the right to list the practice you are listing
- The information you provide is accurate and not misleading
- Your content does not infringe anyone’s rights or violate any law
- You will not include patient information of any kind
Do not post protected health information. PracticeKey is not a HIPAA-covered service and must never be used to transmit patient records, identifiable patient data, or any protected health information.
We may edit, decline, or remove any listing at our discretion, including listings that appear inaccurate, misleading, or incomplete.
5. Confidentiality — this one matters
PracticeKey exists because practice owners need to explore a transition without their staff, patients, competitors, or referral partners finding out. That only works if everyone honors it.
If a practice owner approves your access to a listing, you agree to keep what you learn confidential. This includes the practice name, address, financial information, and anything else disclosed to you. You may share it with your own professional advisors, who are bound to the same confidentiality.
You may not:
- Publish, post, or republish confidential listing information anywhere
- Use it to solicit the practice’s patients, staff, or referral sources
- Use it for any purpose other than evaluating the opportunity presented
- Scrape, copy, or systematically extract listing data
These obligations survive the closing of your account.
Breach of this section may result in immediate termination and legal action.
6. Applications and information you submit to practice owners
When you submit a pre-screening request or an application, the information in it is shared with that practice owner. This may include your credentials, financial capacity, employment history, and — if you provide it — malpractice history.
You choose what to submit. Do not include anything you are unwilling for that practice owner to read.
Practice owners agree to use application information solely to evaluate candidates, to keep it confidential, and to comply with all applicable employment, credentialing, and anti-discrimination laws.
7. Acceptable use
You may not:
- Misrepresent your identity, credentials, licensure, or authority
- Post false, fraudulent, or intentionally misleading listings
- Harass, threaten, or discriminate against another user
- Use PracticeKey to send unsolicited commercial messages
- Scrape, crawl, or use automated tools to access the service
- Attempt to bypass the pre-screening system or access listing information you have not been approved for
- Probe, scan, or test the security of the service, or attempt to gain unauthorized access
- Reverse engineer, decompile, or copy any part of the service
- Use PracticeKey for any unlawful purpose
8. Plans and payment
PracticeKey offers a free plan and paid plans described on our pricing page.
During our launch period, all plan features are available at no charge. We will give account holders advance notice by email before any charges begin.
When paid plans become active: fees are billed in advance on the interval you select, are non-refundable except where required by law, and may change with at least 30 days’ notice. You may cancel at any time; cancellation takes effect at the end of your current billing period.
Some features described on the pricing page are identified as forthcoming. We do not promise a delivery date for them.
9. Termination
You may close your account at any time by emailing privacy@practicekey.io.
We may suspend or terminate your account if you breach these terms, if we believe your use creates risk or legal exposure for us or other users, or if we discontinue the service.
On termination, your listings are removed from public view. Sections 4, 5, 6, 10, 11, 12, and 13 survive.
10. Disclaimers
PRACTICEKEY IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the service will be uninterrupted, secure, or error-free, or that any information on it is accurate or complete.
We are not responsible for the conduct of any user. We do not screen users beyond NPI verification against a public registry. Any transaction you enter into is between you and the other party.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGACY MEDICAL SOLUTIONS LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF PRACTICEKEY.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow these limitations; in those places, they apply to the fullest extent permitted.
12. Indemnification
You agree to indemnify and hold harmless Legacy Medical Solutions LLC, its members, officers, and agents from any claim, loss, liability, or expense (including reasonable attorneys’ fees) arising from your use of PracticeKey, your content, your breach of these terms, or your violation of any law or third-party right.
13. Governing law and disputes
These terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles.
Any dispute arising from these terms or your use of PracticeKey will be brought exclusively in the state or federal courts located in Martin County, Florida, and you consent to the jurisdiction of those courts.
14. Changes to these terms
We may update these terms. If we make a material change, we will update the date above and notify account holders by email before it takes effect. Continued use after that constitutes acceptance.
15. General
These terms, together with our Privacy Policy, are the entire agreement between you and us regarding PracticeKey.
If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these terms; we may assign them in connection with a merger, acquisition, or sale of assets.
